1. Agreement to Terms

By accessing or using the website, any social media page or presence, or the digital platform at platform.healthcareleadershipfoundation.org (collectively, the “Platform”) operated by Healthcare Leadership Foundation, a Delaware nonprofit corporation with offices in Durham, North Carolina (“HLF”), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Platform.

2. Description of Service and Access Tiers

HLF provides a Platform for healthcare leadership development, including structured learning programs, mentorship opportunities, and community engagement tools. The Platform offers different levels of access:

  • Public access: Certain pages and resources are available without an account.
  • Free registered access: Creating an account unlocks additional programs, content, and community features.
  • Paid access: HLF may offer paid programs, courses, or memberships in the future, subject to the billing terms in Section 7.

We reserve the right to add, modify, restrict, or discontinue features, content, or tier composition at any time. Some content or programs may be limited to specific tiers or to verified members of particular communities.

3. User Accounts

You must be at least 13 years old to create an account, and old enough in your jurisdiction to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information during registration and to keep your account information up to date.

4. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose
  • Share, distribute, or reproduce Platform content without authorization
  • Attempt to gain unauthorized access to any part of the Platform
  • Interfere with or disrupt the Platform or its infrastructure
  • Impersonate any person or entity
  • Submit personally identifying patient health information—such as patient names, medical record numbers, dates of service, or other information that could identify a specific patient—through any message field, comment, post, or other free-form input on the Platform

5. User-Generated Content

The Platform may allow you to submit content, including messages, comments, posts, uploads, and other materials (“User Content”). You retain ownership of your User Content.

License to HLF.By submitting User Content, you grant HLF a non-exclusive, royalty-free, worldwide, sublicensable license to host, store, reproduce, display, distribute, and otherwise use that User Content in connection with operating, providing, and promoting the Platform and HLF’s programs.

Your warranties. You represent and warrant that (a) you own or have the necessary rights to your User Content; (b) it does not infringe any third-party intellectual property, privacy, or other rights; and (c) it does not include personally identifying patient health information or other information you are not authorized to disclose.

Moderation and removal. HLF may, but is not obligated to, review, screen, edit, or remove User Content for any reason, including content that violates these Terms or that we believe is harmful, unlawful, or otherwise inappropriate.

DMCA notice and takedown. If you believe content on the Platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at connect@healthcareleadershipfoundation.org. Your notice must include the information required by 17 U.S.C. § 512(c)(3), including identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a good-faith statement, a statement under penalty of perjury that the information is accurate and that you are authorized to act, and your physical or electronic signature.

6. Intellectual Property

All content on the Platform, including courses, materials, logos, and design elements, is the property of Healthcare Leadership Foundation or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without prior written consent.

7. Subscriptions and Billing

The current Platform does not charge for access. HLF may offer paid programs, courses, or memberships in the future. Any paid tier will be governed by separate billing terms presented to you at the point of purchase, including pricing, renewal cadence, cancellation, and refund policies. We will obtain your express informed consent before charging you for any paid offering.

8. Third-Party Services

The Platform integrates with third-party services to provide certain features. Donations made through the Platform are processed by Givebutter and are subject to Givebutter’s own terms of service and privacy policy. Authentication is provided by Clerk. We are not responsible for the practices, content, or availability of third-party services, and your use of those services is at your own risk and governed by their terms.

9. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranties of any kind, either express or implied. HLF does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

10. No Professional Relationship / Not Medical Advice

Content on the Platform is provided for leadership development and educational purposes only. It is not medical advice, diagnosis, or treatment, and is not a substitute for the judgment of a qualified healthcare professional. Do not rely on Platform content to make clinical decisions about any individual patient. No professional relationship, including a doctor-patient relationship, is created by usage of the Platform.

11. Limitation of Liability

To the fullest extent permitted by law, HLF shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or related to these Terms or your use of the Platform will be brought exclusively in the state or federal courts located in Durham County, North Carolina, and you consent to the personal jurisdiction of those courts.

13. Changes to Terms

We reserve the right to update these terms at any time. We will notify users of material changes by posting the updated terms on the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the revised terms.
